The purpose of this letter (“Engagement Letter”) is to confirm that [ ] Law Firm (“We”) have been engaged by the Company to provide contract review legal services in respect of the aforesaid contract (the “Project”) 　　非常感谢贵司给予我们就【】有限公司（以下称“公司”）将与一墨西哥公司签订的合同提供合同审查法律事务的宝贵机会。本聘书（“聘书”）兹确认【】律师事务所（“我们”）接受公司的委托，就前述合同提供合同审查法律服务（“本项目”）。 　　As you may know, [ ] is a PRC full-service law firm with recognized legal services in the fields of foreign direct investment, securities, M&A, general corporate, litigation and arbitration, IPO, banking and finance, labor and employment, international trade, tax, bankruptcy and restructuring, competition, etc. 如您所知，我们是一家提供全方位法律服务的中国律师事务所，在外商直接投资、证券、兼并收购、一般公司事务、诉讼仲裁、企业上市、银行金融、劳动就业、国际贸易、税务、破产重组、竞争等领域业绩卓著。   1．Scope of Work 　　1．工作范围   By this engagement letter, we are appointed by the Company as its legal advisor to provide contract review legal services in respect of the Contract. 　　通过本聘书，我们接受公司的委托，担任其项目律师，就合同提供合同审查法律服务。   2．Team 　　2．服务团队   The members of our team providing the aforesaid services mainly include [ ]. [ ] will be the partner responsible for the Project and will coordinate and supervise our team to deliver our legal services to the Company. When there is any change on the standard hourly rates of the team members serving the Company, We shall forthwith send a written notice to inform the Company, otherwise, the Company is entitled to pay the bill in accordance with the original hourly rates. 　　上述费率会根据每位律师的年度评价而有所调整。如律师团队成员的标准小时费率有任何变动，我们应当立即向公司出具书面通知，否则，公司应该按照原小时费率支付律师费。   4．Disbursements and Tax 　　4．工作费用及税收 　　We will also include on our statement separate charges for expenses such as telephone call charges, messengers, travel expenses, photocopies, faxes, filing fees, other similar expenses incurred by us and VAT on the legal fees (6%) to be paid to Chinese tax authority. 对于我们因从事与本聘书约定服务事项而发生的电话、快递、差旅、复印、传真、备案等类似费用，公司应当连同法律服务费的增值税款（6%）一并支付。   5．Billing Arrangements 　　5．费用支付安排 　　We will bill the Company on a monthly basis. The fees, charges and expenses billed therein are payable within thirty (30) days after receipt. If the bills remain unpaid for 30 days after receipt, we are entitled not to proceed with further work until arrangements satisfactory to us have been made for payment of outstanding statements and the payment of future fees and expenses. 我们将按月向公司发出账单；请公司在收到账单的三十天内付清相关的律师费和工作费用。如在发出账单的三十天后仍未收到款项，我们将有权停止提供进一步的法律服务，直至就未付的款项以及将来费用的支付等事宜作出令我们满意的安排。 　　If the Company has any questions about our statements or the work for which the Company is billed, we ask the Company to call them to our attention within fifteen (15) days after the bill issuing date, otherwise it would be deemed as that the Company has accepted the statement of work. 如公司对我们的账单或账单的工作小时有任何疑问，请公司在账单出具之日起十五天内向我们提出，否则，即视为公司已接受该账单。   6．Company Feedback 　　6．公司反馈   We always aim to provide our services with the highest standard.
